Terms of Service

FADEO (the "Service"), available at fadeo.ai, is operated by Aispin LLC ("Aispin", "we", "us" or "our"). By creating an account or using the Service you agree to these Terms of Service and to our Privacy Policy. If you don't agree, don't use the Service.

You must be at least 13 years old to use the Service. If you are under 18 (or the age of majority where you live), you may use the Service only with the consent of a parent or legal guardian, who must review and agree to these Terms on your behalf and is responsible for your use, including any purchases. Purchases by minors must be made by the parent or guardian.

You may not use the Service if you are barred from doing so under the laws that apply to you.

Give us accurate information when you sign up and keep it up to date. Keep your password secure and don't share your account. You're responsible for everything that happens under your account. Tell us right away at support@fadeo.ai if you think someone has accessed it without permission.

Generating videos uses credits. Each template shows its price in credits before you generate. You get credits through a subscription plan or a one-off credit pack; prices are listed on our pricing page.

• Subscriptions renew automatically every month or year, depending on the billing interval you choose, until you cancel. Each renewal is charged to your payment method at the then-current price.
• Plan credits are granted every month, including on yearly plans. Unused plan credits do not roll over and reset at each monthly refill.
• Credit packs do not expire while your account is active. Plan credits are always used before pack credits.
• Credits have no cash value, can't be transferred or sold, and can only be used on the Service.
• Payments are processed by Stripe. We don't store your full card details. Prices exclude any applicable taxes, which may be added at checkout.
• We may change prices or plans. Changes to a subscription price take effect at your next renewal, and we'll tell you in advance.

You can cancel your subscription at any time from Manage billing on the pricing page. Your plan and its credits stay available until the end of the period you already paid for; we don't charge you again after that.

If a generation fails or is canceled, the credits it used are refunded to your account automatically.

Except for those automatic credit refunds, all payments for subscriptions and credit packs are final and non-refundable, including for partially used periods or unused credits, unless the law where you live requires otherwise. If you think you were charged in error, contact support@fadeo.ai before disputing the charge with your bank; we may suspend accounts with open chargebacks.

You keep ownership of the photos and clips you upload ("Uploads"). You give Aispin LLC a worldwide, non-exclusive, royalty-free license to host, store, copy, process and transmit your Uploads, including sending them to our AI model providers, only as needed to operate the Service and create the videos you request. This license ends when your Uploads are deleted, except for copies kept in backups for a limited time or as required by law.

By uploading, you confirm that:

• you own the Upload or have every right needed to use it;
• every identifiable person in it has given you permission to use their image this way;
• for anyone under 18 shown in it, you are their parent or legal guardian or have that person's consent; and
• it doesn't break these Terms or any law.

As between you and us, and to the extent we have any rights in them, we assign to you the videos you generate ("Outputs"). Outputs created on any paid plan or credit pack may be used for personal and commercial purposes, subject to these Terms and the terms of the AI model provider that generated them.

Please keep in mind:

• AI outputs can be imperfect, unexpected or similar to outputs made for other people. We don't guarantee that an Output is unique or fit for a particular purpose.
• Trend templates are inspired by popular formats. We don't grant you rights to third-party music, trademarks, characters or other people's content that may appear in or be associated with a trend. You are responsible for clearing those rights, and for following each platform's rules, when you post.
• You are responsible for how you use and share your Outputs, including labeling them as AI-generated where a platform or law requires it.

Don't use the Service to create, upload or share content that:

• uses a real person's likeness without their consent, or impersonates, deceives, defames, harasses, bullies or threatens anyone;
• is sexually explicit, or sexualizes, exploits or endangers minors in any way;
• is a deepfake meant to mislead people about real events, including political or election content, or to commit fraud;
• promotes violence, self-harm, hate or discrimination;
• infringes anyone's copyright, trademark, privacy or publicity rights; or
• is otherwise illegal.

Also don't: try to access other users' accounts or files; reverse engineer, scrape or overload the Service; get around credit limits, safety filters or payments; or resell or sublicense access to the Service without our written permission.

We may review, block or remove content and refuse to generate videos that we believe break these rules. We report apparent child sexual abuse material to the National Center for Missing & Exploited Children (NCMEC) and cooperate with law enforcement.

If you believe content on the Service infringes your copyright, send a notice to support@fadeo.ai that includes: your contact details; a description of the copyrighted work; the URL or other details that let us find the material; a statement that you have a good-faith belief the use isn't authorized; a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorized to act for the owner; and your physical or electronic signature. We may remove the material and suspend repeat infringers.

We're constantly improving the Service. We may add, change or remove trend templates, AI models and features at any time. The Service relies on third-party AI providers and may sometimes be slow or unavailable; we don't promise it will always be available or error-free.

You can stop using the Service at any time and ask us to delete your account by emailing support@fadeo.ai. We may suspend or end your access, without refund, if you break these Terms, if we must for legal reasons, or if your use creates risk or harm for us or others. Sections that by their nature should survive (such as ownership, disclaimers, liability limits and disputes) survive termination.

THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.

TO THE FULLEST EXTENT PERMITTED BY LAW, AISPIN LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR US$100.

Some jurisdictions don't allow certain of these limits, so they may not all apply to you.

You agree to defend and indemnify Aispin LLC against claims, damages and costs (including reasonable attorneys' fees) arising from your Uploads, your use of Outputs or your breach of these Terms.

These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules. Any dispute will be resolved exclusively in the state or federal courts located in Wyoming, and you and we consent to their jurisdiction, except that either party may bring an individual claim in small-claims court. Nothing here takes away rights you have under the mandatory consumer-protection laws of the country where you live.

Before filing a claim, please email support@fadeo.ai so we can try to resolve it informally.

We may update these Terms. If a change is material, we'll let you know by email or in the Service before it takes effect. The "Last updated" date above shows the latest version. Continuing to use the Service after a change means you accept the updated Terms.

These Terms and the Privacy Policy are the entire agreement between you and us about the Service. If any part is found unenforceable, the rest still applies. Our not enforcing a right isn't a waiver. You may not transfer these Terms without our consent; we may transfer them in connection with a merger, acquisition or sale of assets.
